TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDRAY TECHNOLOGIES LIMITED DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDRAY TECHNOLOGIES LIMITED AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You will defend, indemnify, and hold harmless Mindray Technologies Limited, its affiliates, and their respective officers, directors, employees, and agents from and against claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your User Content, your misuse of the service, or your violation of these Terms or applicable law.
These Terms are governed by the laws of the Federal Republic of Nigeria, excluding its conflict of laws principles. Any dispute arising out of or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in Delaware.
